We need to

  • Remove the references to named officers. Delaware doesn't require any named officers.
  • Explicitly state our payout model
  • Modify trial period definition

Regarding the trial period:

The NMNM ("upstream") bylaws were written with a more retail- and factory-style environment in mind. It lists the trial period before becoming a member as "five working days". I'm not sure I think this makes a ton of sense in the context of the code and infrastructure-as-code work that we'll be doing. IMO a more appropriate measure would be completed tasks, i.e. pull requests. Since a lot of projects see many "drive-by" single contribution contributors, I think 2 contributions (merged pull requests) should make someone eligible to become a member.

On the other hand, I'm also proposing that pay be divided according to hours worked, so maybe we could just make the trial period "X working hours". 🤷
